Following Republic’s acquisition of Seedrs last year, you will shortly receive your first carried interest payment (which in most cases will be in the form of carried interest loan notes that mature in just over six months’ time). As with the consideration you received at completion of the transaction, this payment will be made to you via the Seedrs platform.
In order to make this and future payments to you in gross, rather than withholding a portion of them for the U.S. tax authorities, Republic needs you to complete a short tax form (Form W-9 or W-8 depending on your residency) by no later than 1 August 2023.
Failure to complete the tax form will result in reduced payments being made to you, the balance of which will only be recoverable from U.S. tax authorities by your personal inquiry.

Hi everyone,
You should now have received an email requesting that you submit a U.S. tax form in connection with the forthcoming carry payments (and, for Class B shareholders, loan note payments). The form must be received by 1 August 2023 in order to benefit you with respect to these payments.
If you have not received the email, please (after checking spam) email republic@seedrs.com, and we will send you the information you need asap.

We will update you on the other mechanics of the carry (and loan note) payments next month.
